Competition Terms and Conditions

By participating in the Competition run by Fasset, you agree to be bound by these Terms and Conditions, any amendments to them, and the decisions of Fasset, which shall be final and binding in all respects.

1. Definitions

1.1 Affiliates: Refers to any entity that directly or indirectly controls, is controlled by, or is under common control with Fasset or the Competition Organisers (as applicable). For the purposes of this definition, "control" means the ownership of, or the power to vote, more than fifty per cent (50%) of the voting stock, shares, or interests of the entity or the ability to direct the management or policies of the entity, whether through ownership, contract or otherwise. The term "Affiliates" includes, but is not limited to, parent companies, subsidiary companies, sister or related companies (entities controlled by the same parent company), and any other business entities in which Fasset or a Competition Organiser holds a significant ownership interest or exerts significant influence over management and operations. This also includes all employees, contractors, agents, or representatives acting on behalf of Fasset or a Competition Organiser or any affiliated companies or entities as described above. Unless expressly stated otherwise, any reference to Fasset or a Competition Organiser in these Terms includes its Affiliates. Fasset or any Competition Organiser may fulfil their responsibilities and obligations under these Terms through any one or more of their Affiliates. When acting on their behalf, the Affiliates shall be subject to the same Terms as Fasset or a Competition Organiser.

1.2 Competition: Fasset Blockchain Fest;

1.3 Competition Organisers: Refers to the individuals, entities, or organisations responsible for planning, managing, and executing the Competition. This includes the main organising entity or entities, any subsidiaries, Affiliates, employees, contractors, agents, or representatives acting on behalf of the organising entity or entities, and/or any partners or sponsors delegated specific responsibilities in the Competition organisation process. This further includes, but is not limited to, any entities performing the following roles and responsibilities:

1.3.1 Establishing the rules and guidelines for the Competition.

1.3.2 Promoting and marketing the Competition to potential participants.

1.3.3 Managing participant registrations and Submissions.

1.3.4 Selecting and coordinating with judges or evaluation panels.

1.3.5 Organising events, workshops, and other activities related to the Competition.

1.3.6 Announcing winners and distributing prizes.

1.4 Confidential Information: Refers to any non-public, proprietary, or sensitive information

disclosed by Fasset, the Competition Organisers or any of their Affiliates. This includes, but is not limited to, business plans, strategies, financial data, technical data, designs, inventions, trade secrets, customer lists, marketing plans, and other Intellectual Property.

1.5 Deadline: Refers to 11:59pm (Gulf Standard Time) on 31 July 2024;

1.6 Fasset: Refers to Fasset FZE, a company with VASP Reference VL/23/07/003 and registered address of Floor 13, Sheik Rashid Tower, World Trade Centre, Dubai, UAE.

1.7 Intellectual Property: Refers to all copyrights, patents, trademarks, trade secrets, and any other proprietary rights that protect inventions, designs, writings, or any other forms of intellectual creations or any derivative or improvements thereof, recognised as benefiting from laws pertaining to the same in the territory of the United Arab Emirates or any other jurisdiction. This includes any other forms, variations or versions of intellectual property not yet known. This includes, but is not limited to, the following:

1.7.1 All computer programs, including source code, object code, algorithms, databases, and related documentation;

1.7.2 Any set of instructions, including source and executable codes, used in software development or other technological processes;

1.7.3 Practical knowledge, techniques, skills, methodologies, processes, and practices that are not generally known to the public;

1.7.4 Data, designs, drawings, specifications, manuals, flowcharts, and any other technical

documentation;

1.7.5 Any physical or digital components, prototypes, models, samples, or any other tangible or intangible materials used in or resulting from research, development, or creative processes;

1.7.6 Any new and useful process, machine, manufacture, or composition of matter, or any new and useful improvement thereof;

1.7.7 Any ornamental or aesthetic aspects of a useful article, webpage or electronic user interface or experience;

1.7.8 Any words, names, symbols, designs, or combinations thereof used to identify and distinguish goods or services; and

1.7.9 Any information that derives independent economic value from not being generally known to, and not being readily ascertainable by, others who can obtain economic value from its disclosure or use.

1.8 Intellectual Property Rights: Refers to the legal rights granted to the creator or owner of

Intellectual Property. These rights provide the creator or owner with exclusive control over the use, distribution, and modification of their intellectual creations, including but not limited to inventions, designs, writings, and any derivative works or improvements thereof.

1.9 Participant: Refers to any individual that satisfies the eligibility criteria as set out in Section 2 of these Terms;

1.10 Submission: Refers to the business plan and all other details of a valid entry into the

Competition through the Website and as stated on the Website and supplemented by these

Terms;

1.11 Team: Refers to a team of a minimum of two or a maximum of four Participants who collectively

submit a single entry into the Competition;

1.12 Team Leader: Refers to an identified Participant in a Team who is authorised to represent the

Team in all matters pertaining to their participation in the Competition and who shall act as the designated point of contact for the Team during the currency of the Competition;

1.13 Terms: Refers to, collectively, these herein Competition Terms and Conditions and the Website;

1.14 Website: Refers to the online webpage, which contains the Submission form as listed and made available at the following link: https://www.lifeatfasset.com/blockchainfest

2. Eligibility

2.1 Participants must be at least 18 years of age or older at the time of entry.

2.2 Participants must be legal residents of Pakistan and will be required to provide a valid passport as identification for confirmation of eligibility.

2.3 Fasset reserves the right to ask for any additional proof of age or identity and evidence to verify a Participant at any time and for any reason.

2.4 While Participants may participate collectively in Teams (as further discussed in Section 3 below), each Participant in a Team must satisfy the eligibility criteria set out in Section 2.

2.5 If any Participant in a Team does not meet these criteria, the Team will be disqualified forthwith.

3. Teams

3.1 Participants may form a Team.

3.2 A Participant may not join more than one Team in the Competition, and a Participant who is part of a Team may not enter the Competition in their individual capacity after the Team has already entered a Submission.

3.3 If a Team enters the Competition, they must appoint and authorise a Team Leader to represent, act, and enter the Submission on the Team’s behalf. Unless notified otherwise in the Submission, the Participant who submits the Submission on the Website on behalf of a Team shall be designated as the default Team Leader.

4. Submission

4.1 The Submission must be made on the Website by or before the Deadline. Any Submissions submitted after the Deadline shall be rejected with no further explanation or notice.

4.2 Submissions should address the theme of the Competition as stated on the Website. Any Submissions that do not address the theme as determined solely by Fasset shall be rejected with no obligation on Fasset to provide any update or explanation for such rejection to the Participant or Team.

4.3 Fasset reserves all rights to reject any Submission without explanation or prior notice for any reason as determined by Fasset in its sole discretion. In addition, Fasset may, but is not obliged to, disclose any reasons for rejection to any Participant or Team.

4.4 Each Participant and Team agrees that no aspect of their Submission, will:

4.4.1 infringe the Intellectual Property Rights of Fasset or any third party;

4.4.2 defame others, or include any content which is obscene, abusive, discriminatory, offensive, hateful, or inflammatory under the laws of the United Arab Emirates or any other jurisdiction;

and/or

4.4.3 promotes or incites violence or illegal activities in the United Arab Emirates or any other jurisdiction.

5. Licence

5.1 Subject to the licences described below, any applicable Intellectual Property Rights to a

Submission will remain with the relevant Participants or Teams.

5.2 By entering the Competition, you grant Fasset, the Competition Organisers, and each of their

Affiliates a fully paid-up, non-exclusive, assignable, sub-licensable, worldwide, perpetual

licence to display publicly and use the Submissions for promotional purposes. This licence

includes, but is not limited to, posting, or linking to the Submission on our, Competition

Organisers’ and our Affiliates’ websites and applications, including their websites, and display and promotion of the Submission on any other media worldwide as determined by Fasset in its sole discretion.

5.3 In addition, you hereby give Fasset your express, unambiguous consent for the following

Submission components to be displayed to the public in any material that Fasset deems

reasonable or fit in its sole discretion: Participants’ or Teams’ names, descriptions, images,

video URL, website URL. Other Submission materials may be viewed by Fasset, the

Competition Organisers and their Affiliates and judges for screening and evaluation.

6. Judging

6.1 The judging panel will be selected at the sole discretion of Fasset. Submissions will be

evaluated based on the criteria provided in the Terms.

6.2 The decision of the judging panel is final and binding. No correspondence or appeals regarding the judges’ decisions will be entertained.

6.3 Fasset will notify the winning Participant or Team via email and publicly announce the results in a manner as determined in its sole discretion. Unsuccessful Participants and/or Teams shall not be individually notified.

7. Prizes

7.1 If any prize notification is returned as undeliverable or a winner fails to reply as specified in the notification, including within the time stated, the winner may be disqualified, and an alternative winner may be selected.

7.2 The prizes awarded are non-transferable and cannot be exchanged for cash or other

alternatives.

7.3 Fasset, may, at its sole discretion, substitute any prize won with a prize of equal or greater value.

7.4 The prize consists only of those items expressly stated on the Website and does not include any other costs or expenses which may be incurred during the acceptance and enjoyment of the prize.

7.5 A condition precedent to be declared a winner is for the winning Participant or Team to appear in person for the final stages of the Competition in Dubai, United Arab Emirates. If the winner(s) are unable to appear for any reason, the prize will be cancelled, and an alternative winner selected.

7.6 A winning Team may retain their win if at least one member of the Team is able to attend the final stages of the Competition in person in Dubai, United Arab Emirates.

7.7 To the extent that any prize providers or Affiliates or partners of the Competition Organisers provide any additional benefits or prizes to the winner(s) which are not expressly provided for on the Website, Fasset will have no liability in respect of such additional benefits and/or prizes.

Any liability in respect of any such additional benefits or prizes shall be solely with the prize

provider or specific Competition Organisers or their Affiliate or partner (as applicable).

7.8 Fasset may either choose to make arrangements regarding travel, accommodation, visa and/or

meals or choose to remunerate the winner(s) for the expenses that would amount for the

aforementioned. Fasset is not responsible for any other connected costs relating to the

acceptance of the prize, and potential additional costs must be borne by the Participants

themselves.

7.9 Winners must comply with all travel and visa requirements to avail of the trip to Dubai. Fasset will assist in the visa application process but is not responsible for any visa refusals. In the event that a winning Participant or Team is refused a visa for entry into Dubai, United Arab Emirates, this shall be a cause for disqualification and the prize shall be awarded to another Participant or Team as chosen and determined by Fasset in its sole discretion.

7.10 By accepting a prize, Participants consent to the use of their name, county of residence, age and/or prize information for promotional and other reasonable purposes without further payment, except where it would be prohibited by law.

7.11 A winner may be requested to participate in our reasonable marketing and promotional

activities. By entering the Competition, each Participant expressly consents to any photos or videos of events connected with the prize that may be posted on Fasset’s (or any of its

Affiliates’) social media accounts or website and agrees to sign all necessary releases to

document this express consent, if required. Each Participant hereby waives any right they may have to inspect or approve such activities, and they release and discharge Fasset (and its Affiliates) from any claims or liability relating to any such reasonable use of Participants’

materials.

8. Confidentiality

8.1 Participants agree to:

8.1.1 Maintain the confidentiality of all Confidential Information received in connection with the competition;

8.1.2 Use Confidential Information solely for the purpose of participating in and administering the competition;

8.1.3 Disclose Confidential Information only to those individuals or entities who need to know such information for the purpose of the competition and who are bound by similar confidentiality obligations.

8.2 The confidentiality obligations do not apply to information that:

8.2.1 is or becomes publicly known through no breach of this clause;

8.2.2 was in the recipient's possession prior to disclosure by the disclosing party;

8.2.3 is independently developed by the recipient without use of or reference to the disclosing party's Confidential Information; or

8.2.4 is required to be disclosed by law, regulation, or court order, provided that the recipient

promptly notifies the disclosing party and cooperates with any efforts to limit the disclosure.

8.3 The confidentiality obligations set forth in this clause shall remain in effect for a period of five (5) years from the date of disclosure of the Confidential Information, or until the Confidential

Information no longer qualifies as confidential, whichever occurs first.

8.4 The Participants hereby agree and acknowledge that a breach of this Confidentiality clause would be a material breach of the Terms and entitle Fasset to unilaterally terminate the Participant’s participation in the Competition, revoke any prized (if awarded) and take such further action as Fasset, in its sole discretion, deems reasonable and necessary to protect its rights, including without limitation injunctive relief, damages, and any other remedies available at law. The Participants further agree and acknowledge that damages alone would not be a sufficient remedy for breach of Clause 8.

9. Non-disparagement

9.1 Participants agree not to make any false, misleading, or disparaging statements about Fasset, the Competition Organisers or any of their Affiliates, whether orally or in writing, including but not limited to statements about any of the following:

9.1.1 The competition, its rules, and administration;

9.1.2 The performance, conduct, or business practices of Fasset, the Competition Organisers or any of their Affiliates; and

9.1.3 The quality, value, or success of any Submission in the Competition.

9.2 The non-disparagement obligations do not restrict any of the following:

9.2.1 Providing truthful information in response to legal proceedings, regulatory inquiries, or

government investigations;

9.2.2 Making statements that are required by law or regulation; or

9.2.3 Sharing feedback or criticism constructively intended to improve the Competition or its

outcomes.

9.3 In the event of a breach of the non-disparagement obligations, the aggrieved party may seek injunctive relief, damages, and any other remedies available at law.

10. Entry Conditions and Release

10.1 By entering the Competition, each Participant (and, if entering on behalf of a Team, each

Participant in the Team) agree to the following:

10.1.1 The relationship between a Participant and Fasset is not a confidential, fiduciary, or other special relationship.

10.1.2 Each Participant will be bound by and comply with these Terms;

10.1.3 Fasset's decisions are binding and final in all matters relating to the Competition;

10.1.4 Each Participant agrees to release, indemnify, defend, and hold harmless Fasset, the

Competition Organisers, their Affiliates and the prize suppliers, and any other organisations

responsible for sponsoring, fulfilling, administering, advertising, or promoting the Competition, along with their respective past and present officers, directors, employees, agents, and representatives (collectively, the “Indemnified Parties”) from and against any and all claims, expenses, and liabilities (including reasonable attorneys’ fees), including but not limited to negligence and damages of any kind to persons and property, defamation, slander, libel, violation of right of publicity, infringement of trademark, copyright, or other Intellectual Property Rights, property damage, or death or personal injury, arising out of or relating to the Competition, a Participant’s entry, creation of a Submission, participation in the Competition, acceptance or use or misuse of the prizes (including any travel or activity related thereto), and/or the broadcast, transmission, performance, exploitation, or use of the Submission as authorised or licensed by these Terms;

10.1.5 Fasset or any of its Affiliates are not liable for the success or failure of the Participants’ or Teams’ projects;

10.1.6 To the maximum extent permissible by applicable laws, Fasset is not liable for any personal

injury, loss, or damage incurred by any Participant during their travels for the Competition,

except where such liability arises due to Fasset’s gross negligence or wilful misconduct; and

10.1.7 Fasset is not responsible for any changes to the GITEX event, including cancellation,

rescheduling, or changes in format. In the event that the GITEX event is cancelled,

rescheduled, or if the winning Participants are unable to be present due to violation of event

guidelines or other reasons beyond Fasset’s control, Fasset will not be liable for any losses or damages and such liability will be held by the Participants themselves. Participants must

comply with all GITEX event guidelines and regulations. Failure to do so may result in

disqualification from the Competition.

10.2 Without limiting the foregoing, the Indemnified Parties shall have no liability in connection with:

10.2.1 any incorrect or inaccurate information, whether caused by electronic or printing error or by any of the equipment or programming associated with or utilised in the Competition;

10.2.2 technical failures of any kind, including, but not limited to, malfunctions, interruptions, or disconnections in phone lines, internet connectivity, electronic transmission errors, or network hardware or software failures;

10.2.3 unauthorised human intervention in any part of the entry process or the Competition; technical

or human error which may occur in the administration of the Competition; and/or

10.2.4 any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from the Participant’s participation in the Competition or receipt or use or misuse of any prize.

10.3 The Indemnified Parties are not responsible for incomplete, late, misdirected, damaged, lost, illegible, or incomprehensible Submissions or for address or email address changes of the Participants. Proof of sending or submitting will not be deemed proof of receipt by Fasset.

10.4 If any Submission is determined to have not been received or been erroneously deleted, lost, or otherwise destroyed or corrupted, the Participant’s sole remedy is to request the opportunity to resubmit their Submission. Such a request must be made promptly after the Participant knows or ought reasonably to have known that there was a problem with their entry or Submission, and acceptance of a late Submission in such circumstances shall be accepted at Fasset's sole discretion.

11. Intellectual Property

11.1 Each Participant acknowledges that Fasset engages, has engaged and will in the future

engage in the development, preparation, production, acquisition, and dissemination of software, technology, and other material or Intellectual Property (“Materials”), including Materials that may be similar or identical to a Participant’s Submission, and that other people may previously have submitted Materials that are similar or identical to a Submission. Each Participant agrees that they will not be entitled to any compensation or credit in connection with, and will not have any other legal, equitable, or other rights of any nature with respect to, the use by Fasset of any Material that is similar or identical to any Submission or any component thereof used at any stage of the Competition.

11.2 Each Participant hereby waives any claim or right of action against Fasset or any of its Affiliates in connection with Fasset's use of any Materials (or any portions thereof), whether or not such Materials are similar or identical to a Participant’s Submission or contains any features, ideas, material, and/or elements that are similar or identical to those contained in a Participant’s Submission.

11.3 Without limitation of the foregoing, Fasset will have the right to use, without any payment or other obligation whatsoever to any Participant, any part of any Submission, and any idea or concept contained therein, that:

11.3.1 is similar or identical to, or contains elements encompassed in, any Material or concept that has been developed, produced, or disseminated or is under consideration or in development by or for Fasset before or at the time of the Participant’s Submission or during any stage of the Competition;

11.3.2 is not unique, novel, original, and concrete to be entitled to protection under applicable laws;

11.3.3 has been made public by anyone at the time of its Submission in the Competition or otherwise is in the public domain;

11.3.4 would be freely usable by a third party if it had not been submitted as a Submission or the subject of any agreement;

11.3.5 is similar or identical to, or contains elements encompassed in, an idea, concept, or Material independently created by Fasset or any third party.

11.4 Acceptance of a Submission is not an admission by Fasset of the novelty or originality of the submission.

12. General Conditions

12.1 Fasset reserves the right, in its sole discretion and without prior notice, to:

12.1.1 change or amend these Terms;

12.1.2 to cancel, suspend, and/or modify the Competition at any time; and/or

12.1.3 to disqualify any Participant for any reason whatsoever.

12.2 Any attempt by any person to undermine the proper conduct of the Competition may be a violation of criminal and civil law. Should Fasset suspect that such an attempt has been made or is threatened, Fasset reserves the right to take appropriate action including but not limited to requiring a Participant(s) to cooperate with an investigation and referral to criminal and civil law enforcement authorities.

12.3 Participation does not guarantee the success of future opportunities.

12.4 Fasset is not responsible for any technical issues or failures that may affect the Submission process.

12.5 If at any time during the Competition, a Participant or prospective Participant believes that any of these Terms may be unclear or ambiguous, they must submit a written request by email for clarification at blockchainfest@fasset.com.

12.6 Extensions to the Deadline or any other deadline for any other stage of the Competition may be granted at Fasset’s sole discretion. Failure to meet any of the deadlines will result in

disqualification from the Competition. Each Participant or Team is responsible for ensuring that their Submission is completed and submitted on time.

12.7 Excluding Submissions, all Intellectual Property related to the Competition, including but not limited to copyrighted material, trademarks, trade names, logos, designs, promotional materials, web pages, source codes, drawings, illustrations, slogans, and representations, are owned or used under licence by Fasset and its Affiliates. All rights are reserved. Unauthorised copying or use of any copyrighted material or Intellectual Property without the express written consent of its owners is strictly prohibited. Any use in a Submission of Fasset’s Intellectual Property shall be solely to the extent provided in these Terms.

12.8 By entering this Competition, each Participant represents and warrants that their Submission is an original work of authorship, and does not violate any third party’s proprietary or Intellectual Property Rights. If a Submission infringes upon the Intellectual Property Right or other right of a third party, the Participant will be disqualified at Fasset’s sole discretion. If the content of a Participant’s Submission is claimed to constitute infringement of any proprietary or Intellectual Property Rights of any third party, the Participant shall, at their sole expense, defend or settle against such claims. The Participant shall indemnify, defend, and hold Fasset (and its Affiliates) harmless from and against any suit, proceeding, claims, liability, loss, damage, costs, or expense which Fasset (or any of its Affiliates) may incur, suffer, or be required to pay arising out of such infringement or suspected infringement of any third party rights. Fasset reserves the right in its absolute discretion to cancel Competitions and/or the prizes where circumstances outside of Fasset’s control arise (including any acts or omissions of any third parties), which would prevent Fasset from being able to fulfil the Competition and/or deliver a prize.

12.9 Participants must comply with all applicable laws and regulations during the Competition and during the availing of any aspect of the prizes. Failure to comply with legal requirements may result in disqualification and forfeiture of prizes.

13. Data Collection

13.1 By entering the Competition, Participants consent to the collection, use, and disclosure of their personal information by Fasset for the purposes of administering the Competition and awarding prizes and as may be required by law. Personal information will be handled in accordance with applicable data protection laws and Fasset’s privacy policy (https://fasset.io/privacy-policy).

14. Limitation of Liability

14.1 By entering this Competition, all Participants (including, in the case of a Team, all participating members) agree to be bound by these Terms and hereby release Fasset, the Competition Organisers and any of their Affiliates from any and all liability in connection with the prizes or Participants’ participation in the Competition, including but not limited to;

14.1.1 any failure to receive entries due to transmission failures or other conditions beyond their reasonable control;

14.1.2 any late, lost, misrouted, garbled or distorted or damaged transmissions or entries;

14.1.3 any disruptions, injuries, losses or damages caused by events beyond their reasonable

control;

14.1.4 any postponement, delay or changes that may impact on the prize caused by events beyond their reasonable control; and/or

14.1.5 any printing or typographical errors in any materials associated with the Competition.

14.2 To the maximum extent permitted by applicable law, in no event shall Fasset or its Affiliates, be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including but not limited to damages for loss of profits, revenue, goodwill, use, data, or other intangible losses, arising out of or in connection with the Competition, regardless of whether such damages were foreseeable or whether Fasset has been advised of the possibility of such damages.

14.3 In no event shall the total aggregate liability of Fasset (or its Affiliates) for all claims arising out of or relating to the Competition exceed the amount of any entry fee paid by the Participant, or, if no entry fee was paid, one hundred dollars ($100 USD).

14.4 The Participants and Fasset acknowledge that the limitations of liability set forth in this clause are an essential basis of the bargain and that the competition would not be provided without such limitations.

14.5 Provided, however, that any limitation of liability arising from gross negligence or intentional acts, or events of death or body injury shall not be applicable in jurisdictions where such limitation is not legal.

15. Dispute Resolution

15.1 Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (“SIAC”) in accordance with the Arbitration Rules of the Singapore International Arbitration Centre (“SIAC Rules”) for the time being in force, which rules are deemed to be incorporated by reference in this clause.

15.2 The seat of the arbitration shall be Dubai.

15.3 The Tribunal shall consist of 1 (one) arbitrator.

15.4 The language of the arbitration shall be English.

15.5 Should any matter or dispute fall outside the remit of this arbitration clause for any reason whatsoever, it shall be referred to and finally resolved by the courts of Dubai, United Arab Emirates.

16. Governing Law

16.1 These Terms are governed by the laws of the emirate of Dubai and the federal laws of the United Arab Emirates.
